Introduction
These Terms and Conditions govern the provision of consultancy, training, and related services (the "Services") by Agrea Consultancy Services Ltd. ("we", "us", "our"). By engaging with our Services, clients ("you", "your") agree to comply with these Terms and Conditions.

Services Provided
Agrea Consultancy Services Ltd offers a range of consultancy and training services, including but not limited to:

• Consultancy Packages - Align and Consult
• Align Workshops and Follow-Up Sessions
• Train Module (Online Courses)
• Business Reviews
• Business Analytics
• Freelance Customer Engagement Transformation
• Coaching and Training
• SaaS Suite Management
• Industry-Based Strategic Planning

Fees and Payments

• All services are subject to fees as outlined in the relevant contract or service agreement.
• Payments are to be made via bank transfer, credit card, or PayPal and are due according to the terms outlined in the agreement.
• For the Train Module and online courses, full payment is required upon registration.
• For consultancy and workshops, payments may be required upfront, in instalments, or upon completion, as specified in the service agreement.
• Late payments will incur an interest charge of 3% per month, starting 14 days from the invoice due date.

Cancellation and Refund Policy

• Train Module: No refunds are provided once access to the course has been granted, except where required by law.
• Align Workshops and Consultancy Services: Cancellations must be made in writing at least 5-7 working days (excluding Bank Holidays) before the scheduled service date. Cancellations made after this period may be subject to a cancellation fee of 50%.
• Follow-Up Sessions: Rescheduling must be requested at least 3 working days in advance, subject to availability. Missed sessions without prior notice are non-refundable.
• Refunds for group bookings or custom services will be outlined in the specific agreement.

Service Delivery

• All services will be delivered as agreed in writing with the client.
• We reserve the right to amend the service content, schedule, or personnel as necessary, with prior notice provided to the client.
• Agrea Consultancy Services Ltd shall not be held responsible for delays caused by factors beyond its reasonable control, including but not limited to natural disasters, strikes, third-party service failures, or other unforeseen events.

Client Obligations

• Clients agree to provide all necessary information, access, and cooperation required for the successful delivery of the Services.
• Any failure to provide requested materials or comply with service agreements may impact service delivery and timelines. Additional charges or delays may apply in such cases.

Confidentiality
Both parties agree to keep all sensitive information shared during the engagement confidential, including but not limited to business strategies, financials, and personal data, except where disclosure is required by law.

Intellectual Property
All materials, methodologies, and deliverables produced by Agrea Consultancy Services Ltd during the engagement remain the intellectual property of Agrea Consultancy Services Ltd unless otherwise agreed.
Clients are granted a non-exclusive, non-transferable license to use the deliverables for internal business purposes only.

Limitation of Liability

• Agrea Consultancy Services Ltd's liability for any loss or damage arising from the provision of its Services shall be limited to the fees paid by the client for those Services.
• Our liability is capped at 100% of the total contract value.
• We shall not be liable for any indirect, incidental, or consequential damages.

Termination

• Either party may terminate the service agreement with 30 days' written notice, subject to any applicable cancellation fees.
• In the event of termination, clients will be liable for any outstanding fees corresponding to the portion of the work already completed.
• Agrea Consultancy Services Ltd reserves the right to terminate the agreement if the client fails to comply with these Terms and Conditions or the agreed service contract.

Promotions and Offers
All promotional offers, including the £100 Amazon voucher giveaway for Train Module participants, are subject to availability and specific terms and conditions outlined at the time of the promotion.
We reserve the right to modify or cancel promotions at any time without notice.

Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom of Great Britain and Northern Ireland.
